Direct Investment Services

WIRE provides direct investment services to select investors whom can invest at the individual project level. This service was created to cater to the needs of those investors who cannot invest in funds due to their own restrictions or for those who prefer to invest directly at project level. All such projects are FDI-compliant. Of course, WIRE then provides these projects the same high quality, open-book development services as it does for all its projects.

WIRE creates investment opportunities where WIRE has strong capabilities, proprietary deal flow and an excellent reputation, to offer uniquely attractive investment opportunities for institutional and individual investors. Projects offered under its Direct Investment Services are those that do not fall within the criteria/scope of its funds, in order to avoid any conflicts of interest.

We manage all aspects of the investment process, including:

  Project Sourcing / Acquire Real Estate
Drawing upon its local knowledge and extensive contacts within India, WIRE's local team in conjunction with its partners will seek to acquire real estate, either directly on its own account, in conjunction with a land holder in joint venture, or with partners. WIRE has a full-time resource dedicated to identification, due diligence, title search, and structuring of an advanced sale agreement or joint venture agreement.

  Project Conceptualisation
The first step in considering a suitable site is to evaluate the preliminary pricing and zoning attributes. Once a site is considered suitable from these perspectives, an assessment is made of its physical and locational attributes,thorough research is conducted on the market and also the permissible use of the subject in order to arrive at a preliminary project concept. After this, an iterative process determines the final project concept.

  Due Diligence
WIRE has spent 2 years identifying the best resources to perform legal, technical and market due diligence on any project being sourced on behalf of investors or being proposed to investors. Markets in India differ considerably from each other and WIRE conducts a structured process in order to ensure clean title and also to ascertain optimal building sizes, ground coverage, etc. to maximize investor returns.

  Financial Assessment
Using an extensible financial model, WIRE develops cash flows in order to model likely project returns. WIRE uses its expertise and relationships with consultants and others to arrive at the various inputs required for the model. WIRE has developed a complex assessment tool to ensure that it takes account of various sensitivities and that it ultimately arrives at a robust prognosis for project returns.

  Deal Structuring
Successful investments require a long-term approach. After a financial and operating plan is developed, WIRE anticipates the capital and development needs of the project and proposes the appropriate debt/equity structure within the boundaries of prudence and the appropriate risk/reward balance. WIRE also models the cash flows to propose the appropriate capital structure as permitted within FDI regulations. WIRE then puts the the necessary resources to work to implement the plan. WIRE also leverages proprietary models and in-depth understanding of alternative deal structures to gain advantage for investors. As required, WIRE then sets up the entities required to hold the investment . WIRE works with the best tax and legal professionals available to accomplish this task in the appropriate jurisdictions.

  Transaction Completion
On completion of market, legal, development costs & financial due diligence and on assessment of financial requirement, a detailed project report including the proposed legal and operating structure is placed before the WIRE Investment Committee for review and approval. This is followed by a detailed Proposal for Investment for selected investors and the financial institutions.

WIRE manages the entire negotiations with all the concerned parties, either together with or on behalf of the investors and completes all the documentation necessary for closing the entire transaction.

Each of WIRE’s projects is incorporated as a separate SPV which enters in to long form agreements with all the respective parties for land acquisition/development, debt, marketing & lease management services, development management services, facilities management services, etc.

  Arrangement and Administration of Project Financing
WIRE provides sound structured value over every aspect of a transaction, using our experience to structure and execute transactions to minimize time, costs and risks to the project while maximizing debt capacity where appropriate. While retaining independence, WIRE has close working relationships with a panel of major financial institutions reducing the time the lender requires in analysis and credit approval, structuring and documentation.

  Accounting, Audit and Project Reporting
WIRE manages the entire accounting and audit of individual project SPVs. WIRE strongly believes in good corporate governance and ensures maintenance and management of clean and transparent records, accounting and audit of its individual project SPVs. In addition, WIRE circulates project based reports to all investors which help them monitor the projects.

  Marketing and Lease Management
One of the most unique advantages of working with WIRE is our full-service approach to marketing a project.. After considerable market research and consultation with experts, WIRE devises a custom marketing plan for each project. Using the partnership with AsiaPac and other consultants, WIRE has created a turnkey approach to marketing and leasing a project. Every project is initiated with a detailed road map and project timeline, outlining key milestones and success factors. WIRE’s staff also oversees each step of a transaction - from initiation through post-completion follow-up. WIRE’s regional and project-based oversight guides all transactions and clarifies critical issues such as currency, culture, politics and common practice in India.

  Exit
Based on a dialogue between the investor and WIRE, a strategy is developed for the preferred exit mode for the investor, taking into account the most profitable post-tax returns. WIRE will then manage the divestment of the project accordingly.

WIRE’s interests are aligned with those of its investors through a promote structure wherein WIRE is rewarded when investors make profits.
